買収防衛策の廃止を議題とする株主総会招集が許可されたことのお知らせ

　アルファレオホールディングス合同会社（以下、当社）は、2019年10月11日に東京地方裁判所民事第8部に「当社が、乾汽船株式会社の株式の大規模買い付け行為等への対応策（買収防衛策）の廃止を目的とする株主総会を当社にて招集することを許可する」との裁判を求めておりました。そして、本日2020年3月6日に東京地方裁判所民事第8部より当社に対し、買収防衛策の廃止の議案を目的事項とし、2020年4月17日までの日を会日とする乾汽船株式会社の株主総会を招集することを許可する決定がございました。当社は、決定に基づき、速やかに株主総会を招集する手続を取る予定です。

Permission by Tokyo District Court to convene the shareholders meeting for the agenda of abolishment of takeover defense plan (poison pill)

Alphaleo Holdings has obtained the permission from Tokyo District Court to convene the shareholders meeting of Innui Global Logistics for the agenda of “abolishment of takeover defense plan (poison pill)”.

On October 11, 2019, Alphaleo Holdings (the “Company”) filed, with Tokyo District Court, Civil Division 8, the action to seek for the permission to convene the shareholders meeting of Innui Global Logistics for the agenda of “abolishment of takeover defense plan (poison pill)”.
 
Today (on March 6, 2020), the Company has obtained the permission from Tokyo District Court to convene and hold the shareholders meeting the date of which will be on or before April 17, 2020. Pursuant to such permission, the Company will take the steps to convene the shareholders meeting.
