ブラックストーンによるユニゾホールディングス株式会社（証券コード：3258）の本公開買付けに対する同意及び合意書締結の期限の追加延長に関するお知らせ

(i)Blackstone Real Estateにより運営及び助言されるファンドの関連会社であるUrchin Holdings I Pte.Limited. （以下「ブラックストーン」といいます。）において、ユニゾホールディングス株式会社（証券コード：3258、株式会社東京証券取引所市場第一部上場。以下「対象者」といいます。）の発行済普通株式全てを、対象者が同意すること及びブラックストーンと対象者との間で一定の追加的な事項を定めた合意書が2019年10月23日までに締結されることを条件として取得する意向（以下「本公開買付け」といいます。）を公表する旨の、2019年10月15日付の「ブラックストーンによるユニゾホールディングス株式会社株式（証券コード：3258）に対する1株当たり5,000円での公開買付けを同社の同意を条件として開始する意向に関するお知らせ」と題するプレスリリース（以下「2019年10月15日付当社プレスリリース」といいます。）及び(ii)2019年10月15日付当社プレスリリースに記載の期限を2019年10月28日まで延長する旨を公表した2019年10月23日付の「ブラックストーンによるユニゾホールディングス株式会社（証券コード:3258）の本公開買付けに対する同意及び合意書締結の期限の延長に関するお知らせ」と題するプレスリリース（以下「2019年10月23日付当社プレスリリース」といいます。）に関し、次のとおりお知らせいたします。

ブラックストーンは、対象者が2019年10月15日付当社プレスリリース及び2019年10月23日付当社プレスリリースに記載された事項に回答するための更なる時間を提供するため、誠実な対応として、対象者の同意及びブラックストーンとの本公開買付けに関する合意書の締結の期限を2019年11月6日の日本時間午後5時まで延長したことをお知らせいたします。

2019年10月15日付当社プレスリリース及び2019年10月23日付当社プレスリリースにも記載のとおり、対象者が上記の期限までに本公開買付けの開始に同意しない場合又は当該合意書を締結しない場合、ブラックストーンはその時点における本公開買付けの実施の可否を含めたあらゆる選択肢を検討致します。なお、上記の期限前にブラックストーンがこれ以上の対象者との協議により当該同意又は合意書の締結が可能ではないと判断した場合、ブラックストーンは、上記の期限の経過を待たずに、その時点における本公開買付けの実施の可否を含めたあらゆる選択肢を検討致します。

Reference is made to the press releases of Urchin Holdings I Pte. Limited, an affiliate of funds managed and advised by Blackstone Real Estate (“Blackstone”), dated (i) October 15, 2019 entitled “Blackstone Intends to Launch Tender Offer for Shares in UNIZO Holdings (Securities Code: 3258) at ¥5,000 per Share, subject to UNIZO Consent” (the “October 15 Release”), announcing Blackstone’s intention to acquire up to all of the outstanding common shares of UNIZO Holdings Company, Limited (Tokyo Stock Exchange; Securities Code: 3258) (“UNIZO” or the “Company”), subject to UNIZO consent and entry into an agreement between Blackstone and UNIZO by October 23, 2019 setting forth in further detail certain additional terms (the “Blackstone Offer”), and (ii) October 23, 2019 entitled “Blackstone Announces Extension of Deadline for UNIZO Holdings (Securities Code: 3258) to Consent and Enter Agreement Blackstone Offer” (the “October 23 Release”), extending the deadline in the October 15 Release until October 28, 2019.

In order to provide additional time for UNIZO to respond to the matters referenced in  the October 15 Release and the October 23 Release, Blackstone hereby announces that it has in good faith extended the deadline under the Blackstone Offer for UNIZO’s consent and entry into an agreement with Blackstone in respect of the Blackstone Offer to 5:00 p.m., Tokyo time, on November 6, 2019. 

As described in the October 15 Release and the October 23 Release, in the event UNIZO does not consent to the commencement of the Blackstone Offer or enter into an agreement with Blackstone by the deadline set forth above, or Blackstone determines prior to such time that further discussions with UNIZO would not be likely to result in such consent or execution of an agreement, then Blackstone will assess all available options at such time, including the possibility of launching the Tender Offer.
