アルファレオホールディングス合同会社(以下「当社」)による乾汽船の取締役の違法行為差止め仮処分申立てにおける東京高等裁判所の決定内容のお知らせ
しかしながら、東京高裁の決定では、本件議題については、①情報提供要請が買収防衛策の発動ではないこと、②情報提供要請に係る乾汽船の株主総会の本件議題の決議には法定拘束力がなく、これが可決されても、当社は回答を義務付けられるなどの不利益を受けないことが確認されておりますのでお知らせ致します。
さらに、上記2点を前提とした上で、東京高裁の決定は、情報提供要請に対する歯止めを記載しています。
(1) 株主総会の多数決を背景に強引に対話を推し進めることについては、会社法109条の定める株主平等原則などの会社法上の制約があること。
(2) 株主に情報提供を求めて当社を含む乾汽船の株主と対話をすることは、取締役の職責の一部とも解されるが、企業秘密やプライバシーを損なわない範囲で行われるべきであること。

Ruling of Tokyo High Court at injunction case against unlawful action of directors of Inui Global Logistics

Outline of ruling of Tokyo High Court at the injunction case brought by Alphaleo Holdings GK (“Alphaleo HD”) against unlawful action of directors of Inui Global Logistics
The Board of Directors of Inui Global Logistics (“Inui”) resolved to request Alphaleo HD to provide information (the “Request for Information”). At the Annual General Meeting of Shareholders of Inui (the “AGM”) to be held on June 19, 2020, a proposal on whether or not to approve the implementation of the Request of Information by Board of Directors to Alphaleo HD (“Proposal No. 3”) will be discussed and voted. In response to this, asserting that it is in violation of laws and regulations and the Articles of Incorporation for making Request for Information and putting Proposal No. 3 on agenda, Alphaleo HD filed an injunction for the unlawful acts by directors. After Tokyo District Court dismissed the case, on June 17, 2020 Alphaleo HD appealed to Tokyo High Court and the appeal itself has been dismissed today.
However, the judgment of Tokyo High Court clearly confirmed that ① the Request for Information does not mean commencement of Inui’s takeover defense plan, not is a part of Inui’s takeover defense plan, and ② the resolution of Proposal No. 3 at the AGM does not have legal binding power and, if the Proposal No. 3 is approved, Alphaleo will not be obliged to respond to the Request for Information.
Furthermore, in addition to ① and ② above, Tokyo High Court applied the following brakes to the Request for Information.
(1) Pushing on “dialog” (with shareholders by directors) high-handedly with presenting majority approval at shareholders meeting is restricted by provisions of the Companies Act of Japan, including principle of equal treatment of shareholders, and others.
(2) While making dialog with Inui’s shareholders (including Alphaleo HD) to seek for the information may be a part of duty of Inui’s directors, the dialog has to be made without invasion of trade secret or privacy of the shareholders.
